TERMS OF SERVICE

Effective date: 14 April 2026

These Terms of Service (“Terms”) govern your purchase and use of ad campaign management services (“Services”) provided by UAE Grassroots Marketing LLC trading as Grassroots Agency (“we”, “us”, or “Grassroots”), registered in Dubai, UAE. By completing payment, you (“Client”, “you”) agree to be bound by these Terms in full.

1. SERVICES PROVIDED

Upon payment, Grassroots will provide the following services as part of your selected plan:

  • Campaign strategy, setup, and ongoing management for the selected advertising platform(s) (Google Ads and/or Meta Ads)
  • Pixel installation, dataset configuration, and conversion event tracking setup
  • Ad copywriting, audience targeting, keyword research, and bid management
  • Daily campaign monitoring and optimisation
  • Monthly performance reporting with full transparency
  • Full access to your advertising accounts at all times
  • Website troubleshooting directly related to campaign tracking and landing page performance
  • Onboarding call and strategy session within 48 hours of payment

Services do not include the creation of ad creative assets (images, video, landing pages) unless purchased separately as add-ons. Meta Ads campaigns require creative content to run, this content must be provided by the Client or purchased through our add-on packages.

2. SUBSCRIPTION & BILLING

  • Your management fee is a recurring monthly subscription processed via Stripe.
  • Billing occurs automatically on the same date each month from your initial payment date.
  • All prices are listed in AED (United Arab Emirates Dirham) and are exclusive of VAT where applicable.
  • Any one-time add-ons (landing pages, creatives, video production) are charged once at the point of purchase alongside your first subscription payment.
  • Your advertising budget is entirely separate from the management fee and is paid directly to Google and/or Meta. Grassroots does not handle, hold, or control your ad spend.

3. PAYMENT FAILURES

If a scheduled payment fails, Stripe will automatically retry the charge. If payment is not successfully collected after retries, your ad campaigns will be paused immediately without prior notice. Campaigns will only resume once the outstanding balance is settled. Grassroots is not liable for any loss of performance, data, or revenue resulting from campaigns being paused due to failed payments.

4. CANCELLATION POLICY

  • There are no long-term contracts. You may cancel your subscription at any time via the Stripe billing portal.
  • Cancellations take effect at the end of your current billing period. You will continue to receive services until that date.
  • No refunds will be issued for partial months, unused days, or the current billing period after cancellation is initiated.
  • Upon cancellation, Grassroots will pause all active campaigns and hand over full account access and documentation.
  • Any one-time add-on purchases (creatives, landing pages, video) are non-refundable once work has commenced.

5. REFUND POLICY

Due to the nature of digital advertising services, where work begins immediately upon payment (including onboarding, strategy development, account setup, and campaign configuration):

  • Management fees are non-refundable once the billing period has started.
  • Refund requests made within 24 hours of initial payment, before any onboarding call has taken place, will be reviewed on a case-by-case basis.
  • Ad spend paid to Google or Meta cannot be refunded by Grassroots as it is paid directly to the platform.
  • Chargebacks or payment disputes for services that have been delivered or are in progress will be contested with full documentation of service delivery.

6. SERVICE DELIVERY & TIMELINES

  • Onboarding call will be scheduled within 48 hours of payment.
  • Campaign setup and launch will occur within 5 working days of the onboarding call, subject to timely provision of required assets and account access by the Client.
  • Delays caused by the Client (e.g. delayed account access, missing creative assets, unresponsive communication) do not constitute grounds for a refund.
  • Grassroots will provide monthly reports and is available for reasonable communication during UAE business hours (Sunday to Thursday, 9am to 6pm GST).

7. RESULTS & PERFORMANCE

Grassroots will manage your campaigns to the best of our ability using industry best practices and our 7+ years of experience in the Dubai market. However, advertising performance is influenced by many factors outside our control including market conditions, competition, seasonality, landing page quality, product/service fit, and ad budget levels. We do not guarantee specific results, leads, sales, ROAS, or any particular performance metric. Past performance data shown on our website reflects real results from real clients but is not a guarantee of future performance.

8. CLIENT RESPONSIBILITIES

  • Provide timely access to advertising accounts (Google Ads, Meta Business Manager) or authorise Grassroots to create accounts on your behalf.
  • Provide ad creative assets for Meta campaigns (images, video) or purchase our creative add-ons.
  • Maintain an active ad budget paid directly to the advertising platform(s).
  • Respond to communications within a reasonable timeframe to avoid delays.
  • Ensure your website, landing pages, and business operations comply with advertising platform policies.

9. INTELLECTUAL PROPERTY

Campaign strategies, ad copy, audience configurations, and reporting templates created by Grassroots remain the intellectual property of Grassroots Creative Agency. Upon cancellation, the Client retains full access to their advertising accounts and any campaigns built within them. Creative assets purchased as add-ons (images, video, landing pages) are owned by the Client upon full payment.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Grassroots shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of profits, loss of business, or loss of data, arising from or related to your use of our Services. Our total liability for any claim arising from these Terms shall not exceed the total amount paid by you to Grassroots in the three (3) months preceding the claim.

11. DISPUTE RESOLUTION

Any disputes arising from these Terms shall first be attempted to be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of the Emirate of Dubai, UAE. These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.

12. MODIFICATIONS

Grassroots reserves the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. Material changes to pricing or service scope will be communicated via email at least 14 days in advance.
